Sharecase™ Terms of Use

Acceptance of the Terms of Use
These Sharecase™ Terms of Use, along with any documents that they expressly incorporate by reference (collectively, these “Terms of Use”), are entered into by and between you and Sharecase™, Inc. (“Company,” “we,” or “us”). These Terms of Use govern your access to and use of www.joinsharecase.com, www.sharecase.app, our iOS and Android mobile applications, and all related products, services, and subdomains (collectively, the “Services”), including any content, functionality, and services offered on or through them, whether as a guest or a registered user.
Please read the Terms of Use carefully before you start to use the Services. By creating a Sharecase™ account (an “Account”) or accessing or using the Services or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://www.joinsharecase.com/privacy, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not create an Account or access or otherwise use the Services. If you wish to terminate these Terms of Use at any time, you can do so by closing your Account and no longer accessing or using the Services.
The Services are offered and available to users who meet the age requirements specified below and reside in the United States or any of its territories or possessions. By using the Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Services.
Age Requirements
“Minimum Age” means 13 years old. However, if law requires that you must be older in order for us to lawfully provide the Services to you without parental consent (including using your personal data) then the Minimum Age is such older age.
The Services are not for use by anyone under the Minimum Age. To use the Services, you agree that: (1) you must be the Minimum Age or older; (2) you will only have one Account, which must be in your real name; and (3) you are not already restricted by Sharecase™ from using the Services. Creating an Account with false information is a violation of our terms, including Accounts registered on behalf of others or persons under the Minimum Age.
Parental Consent for Users Under 18
Sharecase™ requires verifiable parental or legal guardian consent before activating an account for any Student user who is under 18, regardless of the user’s state of residence. This requirement applies universally to all Student users under 18.
At signup, a Student user under 18 must provide contact information for a parent or legal guardian (which may include an email address, telephone number, or both). Sharecase™ will deliver a consent request to the parent or guardian through the chosen delivery channel (email, SMS or text message, or both). The parent or guardian must affirmatively confirm consent through Sharecase™’s consent verification flow before the Student user’s account is activated. Sharecase™ may, in its discretion, accept various forms of verifiable parental consent, including consent confirmations through email or SMS channels with an audit record, third-party identity verification, or other reasonable methods, and may modify the consent verification mechanism from time to time.
Sharecase™ maintains an audit record of parental consent, which may include the parent or guardian’s name, contact information (email and/or phone number), consent timestamp, IP address of the consent submission, delivery channel used, and the version of these Terms of Use and our Privacy Policy that the parent or guardian accepted on behalf of the Student user.
A parent or legal guardian who has provided consent may revoke that consent at any time, solely by following the unique revocation link Sharecase™ provides in the original consent communications (email and/or SMS). Sharecase™ does not provide an in-app, account, or dashboard mechanism for parents or legal guardians to revoke consent. Upon revocation, Sharecase™ will suspend or deactivate the Student user’s account. Sharecase™ may, in its discretion, send periodic notifications to the parent or legal guardian (for example, regarding material changes to the Student’s account or account closure) but does not provide a separate ongoing dashboard or login for parents and guardians.
Parental consent under this section is required for Sharecase™ to provide the Services to a Student user under 18 and is separate from any peer endorsement or Supporter-relationship verification described elsewhere in these Terms of Use. The provision of parental consent under this section does not create a Supporter account for the parent or guardian; the parent or guardian may, separately and at their option, register a Supporter account through the Verified Parent/Guardian flow described in the Supporter Registration section.
Verification of Mentors, Recruiters, and Supporters; Limitations on All Users
Sharecase™ verifies the identity or affiliation of users who register as Mentors through limited measures, which may include validation of the email domain associated with the Mentor’s stated school, organization, or employer affiliation (for example, requiring an email address from a verified school, organization, or employer domain). Where a Mentor does not complete verification (for example, where the Mentor does not have an institutional email address or chooses not to use one), Sharecase™ permits the user to register without verification. Verified Mentors display a “Verified Mentor” badge on their profile, on posts, and on other surfaces where their name appears; unverified Mentors do not display the badge. The presence or absence of a Mentor verification indicator is intended solely as an informational signal and does not constitute a recommendation, endorsement, or guarantee by Sharecase™.
Verification is REQUIRED for all users who register as Recruiters. Sharecase™ verifies Recruiters through measures including validation of the email domain associated with the Recruiter’s stated employer or institutional affiliation, and may include additional verification steps (such as confirmation of the Recruiter’s role or authority to recruit on behalf of the stated employer or institution) at Sharecase™’s discretion. A user who cannot be verified through these measures will not be permitted to register or use the Services in a Recruiter capacity. Sharecase™ reserves the right to suspend or terminate any Recruiter account at any time, including if verification information cannot be confirmed, becomes outdated, or appears inaccurate, or if Sharecase™ otherwise determines that the Recruiter’s use of the Services is inconsistent with these Terms of Use.
Sharecase™ does not, by default, verify users who register as Supporters. Supporters are typically family members, friends, or community members of a Student user (such as parents, grandparents, aunts, uncles, cousins, family friends, neighbors, coaches, or teachers in a supportive role) who use the Services to follow, engage with, and encourage Student users. The Supporter role is limited in functionality: Supporters may not create posts, publish achievements, build a profile of their own achievements, or otherwise generate primary content on the Services, but may follow Student users, react to and comment on Student-posted content, send and accept connection requests, and (once connected) exchange messages with other users. The absence of verification of Supporters by default does not relieve any Supporter of the obligation to comply with these Terms of Use, our Privacy Policy, and all applicable laws.
Although Supporter accounts are not subject to Sharecase™’s email-domain verification described above, Sharecase™ offers a separate mechanism by which a Supporter may become verified by a specific Student user as having a particular relationship to that Student (for example, as a verified parent, legal guardian, family member, or coach). Such verification is initiated by either the Student or the Supporter through Sharecase™’s verification request feature and requires the explicit confirmation of the other party. Sharecase™ does not independently verify the existence, accuracy, or legal nature of any claimed relationship; the verification represents only that one party has affirmed the relationship to the other within the Services. A Supporter who has been verified by a Student user as that Student’s parent or legal guardian (a “Verified Parent/Guardian”) may, at the Student’s election, be granted access to additional Student information or features that other Supporters do not receive. Such additional information sharing is controlled by the Student and may be modified or revoked by the Student at any time through their account settings. Sharecase™’s recognition of a Student-confirmed relationship is intended solely as an informational signal within the Services and does not constitute confirmation by Sharecase™ of any party’s identity, parental status, legal authority, or fitness to act in any parental, guardianship, or other capacity.
Verification of any user (where applicable) is limited in scope and is NOT a substitute for: (a) criminal background checks; (b) identity verification by a government-authorized identification service; (c) child-safety screening; (d) reference checks; or (e) confirmation of any user’s character, suitability, or fitness for any role or interaction. Sharecase™ makes no representation or warranty as to the identity, character, qualifications, suitability, or background of any Mentor, Supporter, Recruiter, or other user, whether verified or unverified. You acknowledge that interactions with Mentors, Supporters, Recruiters, and other users are at your own risk and that Sharecase™ is not responsible or liable for the conduct, statements, communications, or actions of any user.
Recruiter contact with minor Students. Recruiters use the Services for the purpose of identifying and connecting with potential candidates, including Student users. Because Recruiters frequently initiate contact with Student users they do not personally know, Sharecase™ reserves the right to impose additional limitations on Recruiter-initiated contact with Student users who are under 18, including restrictions on direct messaging, profile visibility, outreach methods, and the personal information Recruiters can view. These limitations may evolve as Sharecase™ refines its safety practices.
Parental and guardian supervision. Where a Student user is under 18, that Student’s parent or legal guardian remains responsible for supervising the Student’s use of the Services, including any connections, follows, messages, or other interactions with Mentors, Supporters, Recruiters, or other users.
Age transition. When a Student user reaches age 18 while using the Services, that Student becomes a legal adult for purposes of these Terms of Use. Minor-specific protections (including the parental supervision clause above and any restrictions on Recruiter contact for minors) no longer apply to the Student upon turning 18, and standard adult-user terms govern thereafter.
Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them through or on the Services and apply to all access to and use of the Services thereafter.
If you object to any changes that we make to these Terms of Use, you may close your Account. Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
Accessing the Services and Account Security
We reserve the right to withdraw or amend the Services, and any service or material we provide on the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Services or the entire Services.
You are responsible for both:
Making all arrangements necessary for you to have access to the Services.
Ensuring that all persons who access the Services through your internet connection are aware of these Terms of Use and comply with them.
To access the Services or some of the resources it offers, you may be asked to provide certain registration details (e.g., for creating an Account) or other information. It is a condition of your use of the Services that all the information you provide on the Services is correct, current, and complete. You agree that all information you provide to register with the Services or otherwise, including, but not limited to, through the use of any interactive features on the Services, is governed by our Privacy Policy and that we may access, store, process, and use any information (including content and/or personal data) in accordance with the terms of our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your Account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information. You agree to protect against wrongful access to your Account (e.g., by using a strong password), to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security, and to follow the law and all of our policies. You also agree to ensure that you exit from your Account at the end of each session. You should use particular caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.
Account Authentication (SMS or Email) and User Consent
Sharecase™ uses SMS or text messaging for account authentication (including one-time passcodes sent to your mobile telephone number for login or password reset), security-related communications, and, with your consent, service updates and marketing communications. By providing your mobile telephone number to Sharecase™ and using SMS-based features (including SMS-based account authentication), you expressly consent to receive text messages from Sharecase™ at that number for these purposes.
You acknowledge that: (a) message frequency varies; (b) message and data rates may apply, and Sharecase™ is not responsible for any charges your wireless carrier may impose; (c) you may opt out of marketing text messages at any time by replying STOP to any text message Sharecase™ sends you, after which you may continue to receive transactional and account-related messages (such as authentication codes) that are necessary to provide the Services; (d) you may reply HELP for assistance, or contact Sharecase™ at legal@sharecase.app; and (e) Sharecase™ does not share, sell, or rent mobile telephone numbers to third parties for marketing purposes. For additional information about how Sharecase™ collects, uses, and protects your mobile telephone number, please see our Privacy Policy.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
As an alternative to SMS, Sharecase™ also offers account authentication and account-related communications by email. At signup and for subsequent authentication needs, you may choose to receive one-time passcodes either by SMS to your mobile telephone number or by email to your email address. By providing your email address to Sharecase™ and selecting email-based authentication, you expressly consent to receive emails from Sharecase™ at that address for authentication, security-related communications, transactional notifications, and, with your separate consent, marketing communications. You may opt out of marketing emails at any time by clicking the unsubscribe link in any marketing email or by adjusting your account preferences; transactional and account-related emails (such as authentication codes) will continue to be sent as necessary to provide the Services. Email addresses are not shared, sold, or rented to third parties for marketing purposes. Payment
If you buy any of our paid Services, you agree to pay us the applicable fees and taxes and you agree to any additional terms specific to the paid Services. Failure to pay these fees will result in the termination of your paid Services. You further agree that:
We may store and continue billing your payment method (e.g., credit card), even after it has expired, to avoid interruptions in your paid Services and to use it to pay for other Services you may buy;
If your primary payment method fails, we may automatically charge a secondary payment method, if you have provided one;
If you purchase a subscription, your payment method automatically will be charged at the start of each subscription period for the fees and taxes applicable to that period. To avoid future charges, cancel before the renewal date
We may modify our prices effective prospectively upon reasonable notice to the extent allowed under the law.
We may calculate taxes payable by you based on the billing information that you provide to us.
You may update or change your payment method through our website at www.sharecase.app (or via account settings linked from www.joinsharecase.com).
Intellectual Property Rights
The Services and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit you to use the Services for your non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services, except as follows:
Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.
If we provide social media features with certain content, you may take such actions as are enabled by such features.
You must not:
Modify copies of any materials from the Services.
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
You must not access or use for any commercial purposes any part of the Services or any services or materials available through the Services.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Use, your right to use the Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made.
“Private Content” means your original content that you submit or post to the Services other than User Contribution (as defined below). As between you and us, you own your Private Content and User Contributions. You hereby grant to us and our affiliates a nonexclusive, worldwide, transferable, and sublicensable right to use, copy, modify, distribute, publicly perform and display, host, and process your Private Content without any further consent, notice, or compensation to you or others. You can end the foregoing license for specific Private Content by deleting such Private Content from the Services, or generally by closing your Account, except: (a) to the extent you: (1) shared it with others as part of the Services and they copied, re-shared, or stored it; (2) we had already sublicensed others prior to your Private Content removal or closing of your Account; or (3) we are required by law to retain or share it with others; and (b) for the reasonable time that it takes to remove the Private Content that you delete from backup and other systems. We may edit and make format changes to your Private Content (such as translating or transcribing it, modifying the size, layout or file type, and removing or adding labels or metadata. We will not include your Private Content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content).
Trademarks
The Company name, the term SHARECASE, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
Prohibited Uses
You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards (as defined below) in these Terms of Use;
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing); or
To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm the Company or users of the Services, or expose them to liability.
Additionally, you agree not to:
Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services;
Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services;
Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent;
Use any device, software, or routine that interferes with the proper working of the Services;
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
Attack the Services via a denial-of-service attack or a distributed denial-of-service attack; or
Otherwise attempt to interfere with the proper working of the Services.
User Contributions
The Services may contain group chats, message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Services. Any User Contribution you post to the site will be considered non-confidential and non-proprietary, and all User Contributions must comply with the Content Standards (as defined below) in these Terms of Use. By providing any User Contribution on the Services, you hereby grant to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns a perpetual, nonexclusive, irrevocable, worldwide, transferable, fully paid-up, royalty-free, and sublicensable (through one or multiple tiers) license and right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material according to your Account settings.
You represent and warrant that:
You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
All of your User Contributions do and will comply with these Terms of Use.
You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Services.
Mentor-Authored Articles and Long-Form Content
Where the Services support such functionality, Mentors and certain other users may create, author, and publish articles, essays, advisory content, and other long-form materials through the Services (collectively, “Mentor Articles”). Mentor Articles are User Contributions subject to all provisions of these Terms of Use, including the User Contributions section, the Content Standards, and the Intellectual Property Rights section.
Mentor Articles represent the personal views, statements, opinions, and recommendations of the authoring Mentor or user, and do not constitute the views, advice, endorsements, or recommendations of Sharecase™. Sharecase™ does not independently verify the accuracy, currency, sourcing, completeness, or suitability of Mentor Articles. You should not rely on a Mentor Article as professional advice (whether educational, career, college admissions, financial, legal, medical, mental health, or otherwise) without confirming the information from qualified, independent sources. Mentors who post Mentor Articles are solely responsible for their content, including accuracy, factual support, and compliance with applicable laws (including any laws restricting the unauthorized practice of regulated professions).
Mentor Articles may be visible to other users in accordance with the visibility settings and discovery features Sharecase™ makes available, and may be subject to cross-platform sharing as described elsewhere in these Terms of Use. Sharecase™ may, in the future, offer additional functionality related to Mentor Articles (including, without limitation, monetization, subscriptions, paywalls, commenting, ratings, or featured placement), which may be subject to additional terms specifically applicable to those features.
Monitoring and Enforcement; Termination
We have the right to:
Remove or refuse to post any User Contributions for any or no reason in our sole discretion;
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms of Use, including the Content Standards (as defined below), infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for the Company;
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy;
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services; or
Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Use.
Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
However, we are not responsible for reviewing material before it is posted on the Services and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Content Standards
The content standards set forth in this section (the “Content Standards”) apply to any and all Private Content, User Contributions, and use of Interactive Services. Private Content and User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, Private Content and User Contributions must not:
Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;
Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy;
Be likely to deceive any person;
Promote any illegal activity, or advocate, promote, or assist any unlawful act;
Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;
Impersonate any person or misrepresent your identity or affiliation with any person or organization;
Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising; or
Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
Copyright Infringement
If you believe that any User Contributions violate your copyright, please contact us at legal@sharecase.app. It is the policy of the Company to terminate the Accounts of repeat infringers.
Reliance on Information Posted
The information presented on or through the Services is made available solely for general information purposes. We do not warrant, and disclaim any warranty regarding, the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its contents.
The Services may include content provided by third parties, including materials provided by other users, bloggers, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Company, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Company. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
Changes to the Services
We may update the content on the Services from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Services may be out of date at any given time, and we are under no obligation to update such material.
Information About You and Your Visits to the Services
All information we collect on the Services is subject to our Privacy Policy. By using the Services, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
Institutional Verification of Achievements; Third-Party Integrations
Sharecase™ may from time to time offer features that enable schools, school districts, colleges, universities, teachers, coaches, mentors, athletic teams or leagues, clubs, extracurricular organizations, service and honor societies (such as the National Charity League, National Honor Society, scouting organizations, and similar organizations), nonprofits and charitable organizations, religious organizations, cultural and community organizations, volunteer programs, internship host organizations, summer programs and camps, awards or competition administrators, employers, and any other institution or organization with which a Student user has had a relevant relationship (each, a “Verifying Institution”) to verify, confirm, or otherwise affirm the accuracy of a Student user’s claimed achievement, milestone, credential, volunteer service, internship, employment experience, award, or other content posted on the Services. Institutional verification is separate and distinct from the peer endorsements described above. Verifying Institutions may be required to register, identify themselves, and accept additional terms specifically applicable to the verification process before being permitted to issue verifications through the Services.
(a) Verification through the Services is typically initiated by a Student user, who selects content to be verified and identifies the proposed verifier (which may be an individual representative of a Verifying Institution, such as a teacher, coach, supervisor, or volunteer coordinator) by entering an email address or other identifier. Sharecase™ may then deliver a verification request to that identifier (for example, via email), and the recipient may approve, decline, or take no action on the request. A verification is recorded only where the recipient affirmatively approves the request through the Services. A verification recorded in this manner represents the recipient’s personal affirmation that the verified content is, to the recipient’s knowledge, accurate; it does not constitute Sharecase™’s independent verification of (i) the identity of the recipient or the authenticity of the email address or identifier used, (ii) the recipient’s authority to verify on behalf of any Verifying Institution, (iii) the truth or accuracy of the verified content, or (iv) any Verifying Institution’s internal processes, records, or policies. Sharecase™ may also offer alternative or additional verification mechanisms, including (i) registered verifier accounts, by which an individual verifier registers with Sharecase™ and may issue, manage, view, revoke, or correct verifications they have provided through the Services; and (ii) registered institutional verification flows, in which a Verifying Institution registers with Sharecase™ and authorized representatives issue verifications on the institution’s behalf. Each such mechanism may be subject to additional terms specifically applicable to that mechanism. Verifications issued by a verifier who later deletes their account or who is suspended or removed from the Services may, at Sharecase™’s discretion, remain associated with the Student’s content or be removed;
(b) Sharecase™ does not independently audit, monitor, or guarantee the accuracy of any verification provided by a Verifying Institution, and Sharecase™ disclaims responsibility for any reliance placed on a verification by any third party, including but not limited to colleges, universities, third-party college application services, scholarship providers, employers, Recruiters, government agencies, and other evaluating or selecting parties. Third parties relying on any verification through the Services do so at their own risk;
(c) Sharecase™ reserves the right to suspend, remove, or revoke any verification at any time, including but not limited to where Sharecase™ has reason to believe the verification, the Student’s underlying claim, or the Verifying Institution’s authority to issue the verification is inaccurate, fraudulent, unauthorized, mistaken, or otherwise inconsistent with these Terms of Use or the integrity of the Services;
(d) Certain information about Student users (including verifications relating to grades, transcripts, attendance, disciplinary records, or other education records) may be subject to the Family Educational Rights and Privacy Act (“FERPA”, 20 U.S.C. § 1232g; 34 C.F.R. Part 99) or similar state laws. Verifying Institutions that are subject to FERPA or similar laws are responsible for their own compliance with such laws in connection with their use of the Services, including obtaining any consent required from Students, parents, or guardians. Sharecase™ is not the “school official” or party of primary responsibility under FERPA in connection with information processed through the Services unless Sharecase™ has separately entered into a written agreement with the Verifying Institution that expressly provides for such role; and
(e) Sharecase™ may, in the future, make verified information available to, or accept verifications from, third-party platforms, application services, recruiting platforms, scholarship platforms, or other evaluating parties through separate integrations or agreements. Any such third-party integrations may be subject to additional terms specific to the integration and to the third party’s own terms of service and privacy practices, which Sharecase™ does not control. Where the Services exchange information with a third-party integration partner (for example, transmitting verified achievement information to a college application service at the Student’s election), the Student user must affirmatively consent to the transmission, and the recipient third party’s use of the information will be governed by that third party’s terms.
Terms of Use (Part 2 of 2)
This is Part 2 of 2 of the Sharecase™ Terms of Use. Part 1 above covers initial sections.
Organization and Institutional Accounts
In addition to the individual user roles described in these Terms of Use (Students, Mentors, Supporters, and Recruiters), Sharecase™ may from time to time offer account types for organizations and institutional users, including schools, school districts, colleges, universities, nonprofits, charitable organizations, companies, employers, scholarship providers, awards programs, athletic and extracurricular organizations, government agencies, application services, and other institutional users (each, an “Organization Account”).
Where Sharecase™ offers Organization Accounts, an individual authorized representative of the organization may be required to register the Organization Account on the organization’s behalf, identify themselves and their authority to act for the organization, and accept additional terms specifically applicable to Organization Accounts. Organization Accounts may be subject to different functionality, fees, payment terms, default settings, content categories, content standards, data-sharing arrangements, retention periods, and other terms than individual user accounts. Sharecase™ may also require execution of a separate written agreement (such as a data use agreement, education program agreement, or other arrangement) for certain Organization Accounts or categories of Organization Accounts.
All actions taken through an Organization Account are deemed to have been taken by the organization on whose behalf the account was registered. An authorized representative who accesses, manages, or acts through an Organization Account does so as an agent of the organization, and the organization itself remains responsible for compliance with these Terms of Use and any additional terms applicable to the Organization Account. An organization is responsible for the conduct of any authorized representative who acts through its Organization Account, and Sharecase™ may suspend or terminate an Organization Account, including in response to any violation of these Terms of Use or any additional applicable terms by an authorized representative.
Resume Generation and Resume PDFs
The Services may offer features that allow Student users to generate a resume, portfolio, summary, transcript, or similar document (collectively, a “Resume”) from selected content in the Student’s profile, including but not limited to achievements, milestones, credentials, volunteer service, internships, employment experience, awards, verifications, endorsements, and other content the Student or others have posted. Where the Student elects to use these features:
(a) Resume generation is initiated by the Student, who selects the content from their profile to be included in the Resume. Sharecase™ assembles and formats the selected content into a document (typically delivered as a PDF or similar format) that the Student may download, save, print, share through the cross-platform sharing features, or transmit to third parties (such as colleges, universities, scholarship providers, employers, recruiters, or third-party college application services) outside the Services;
(b) Resume generation may incorporate AI-assisted features (including AI-assisted formatting, summarization, content suggestions, or rephrasing) provided by Sharecase™’s AI service provider as described in the Privacy Policy and elsewhere in these Terms of Use. The disclosures and limitations applicable to AI features apply equally to AI-assisted Resume generation;
(c) The content of a generated Resume is determined by the Student’s selections and by information that the Student or others have posted to the Services. Sharecase™ does not independently verify the truth, accuracy, or completeness of any information included in a Resume (including any achievements, credentials, verifications, endorsements, or other content reflected in the Resume), and does not certify a Resume as an official record. The Student is solely responsible for the accuracy and completeness of any Resume the Student generates, shares, or transmits, including the accuracy of statements relating to grades, transcripts, attendance, awards, employment, or other claims;
(d) Once a Resume is downloaded, saved, shared, printed, or transmitted outside the Services, Sharecase™ has no ability to control how the Resume is used, viewed, copied, redistributed, modified, retained, or relied upon by recipients or third parties. The Student assumes full responsibility for any decision to share a Resume and for any consequences arising from that decision. Recipients of a Resume who rely on its content (including colleges, universities, scholarship providers, employers, recruiters, and third-party application services) do so at their own risk, and Sharecase™ disclaims responsibility for any reliance placed on a Resume by any third party;
(e) Sharecase™ branding (such as the Sharecase™ name, logo, or trademarks) may appear on a generated Resume as a formatting or attribution element. The presence of Sharecase™ branding on a Resume is an attribution element only and does not constitute Sharecase™’s endorsement, certification, independent verification, or guarantee of the content of the Resume or of any claim made in the Resume; and
(f) Sharecase™ may from time to time modify the design, format, available content categories, branding elements, AI-assisted functionality, or other aspects of the Resume generation feature, and may suspend or discontinue the feature in its discretion. Resumes generated prior to any such modification or discontinuation remain the responsibility of the Student who generated them.
Linking to the Services and Social Media Features
You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.
The Services may provide certain social media features that enable you to:
Link from your own or certain third-party websites to certain content on the Services;
Send emails or other communications with certain content, or links to certain content, on the Services; or
Cause limited portions of content on the Services to be displayed or appear to be displayed on your own or certain third-party websites.
You may use these features solely as they are provided by us, solely with respect to the content they are displayed with, and otherwise in accordance with any additional terms and conditions we provide with respect to such features. Subject to the foregoing, you must not:
Establish a link from any website that is not owned by you;
Cause the Services or portions of it to be displayed on, or appear to be displayed by, any other site, for example, framing, deep linking, or in-line linking;
Otherwise take any action with respect to the materials on the Services that is inconsistent with any other provision of these Terms of Use.
The website from which you are linking, or on which you make certain content accessible, must comply in all respects with the Content Standards set out in these Terms of Use. You agree to cooperate with us in causing any unauthorized framing or linking immediately to stop. We reserve the right to withdraw linking permission without notice. We may disable all or any social media features and any links at any time without notice in our discretion.
Profile Visibility (Public and Private); Connections; Endorsements
Student users may set the visibility of their profile and the content they post on the Services as Public or Private through their account settings, subject to defaults and limitations Sharecase™ may impose. The mechanics, defaults, and available controls for profile visibility may be modified by Sharecase™ from time to time.
Public Profiles. When a Student’s profile is set to Public, the Student’s profile information and content posted to the profile may be viewable by (i) other Sharecase™ users (including users with whom the Student is not connected); (ii) visitors to the public-facing portions of the Services who are not logged in; (iii) Recruiters using the Services for talent discovery and opportunity matching; and (iv) any users to whom such content has been shared, including through cross-platform sharing features. Public profile URLs (such as sharecase.app/username) may be shared by the Student and by Sharecase™ in connection with these purposes. Public profiles may also appear in search results within the Services and (where applicable) may be indexed by third-party search engines.
Private Profiles. When a Student’s profile is set to Private, the Student remains discoverable through the search and discovery features of the Services. Other users may see only a limited preview of the Private Student (for example, name or username, profile image, role, headline, and general identifying information such as school, city, or graduation year) and may use such limited preview to send the Student a connection request through the Services. The Student’s full profile information and content (including, without limitation, detailed achievements, posts, articles, endorsements, connections, and other content posted to the profile) are intended to be viewable only by users to whom the Student has granted access (such as connected Supporters, Mentors, or other approved users). Sharecase™ may modify the specific fields included in a limited preview of a Private profile from time to time. Private profile content is not indexed by third-party search engines and Private profile pages are not generally accessible to visitors to the Services who are not logged in. Sharecase™ uses commercially reasonable measures to limit visibility of Private profiles in accordance with the Private setting, but Sharecase™ cannot guarantee that profile information or content posted to the Services will not be viewed, copied, screenshotted, shared, or otherwise re-disseminated by users who have permitted access through any of the means described in these Terms of Use.
Default Visibility for Minor Student Users. Default profile visibility for Student users who are under 18 is set to Private. A Student user under 18 may change their profile visibility (for example, from Private to Public) through their account settings, subject to defaults and limitations Sharecase™ imposes. Sharecase™ may, in its discretion, notify the Student’s consenting parent or legal guardian of material visibility changes. A parent or legal guardian who has provided consent for an under-18 Student under the Parental Consent for Users Under 18 section may revoke that consent at any time, solely by following the unique revocation link provided in their consent communications (email and/or SMS), which will result in the Student’s account being suspended. These default settings and protections may evolve as Sharecase™ refines its safety practices for users under 18 and as applicable laws and regulatory guidance develop.
Changing Visibility. A Student may change profile visibility settings through their account settings, subject to any limitations Sharecase™ imposes. Changing a profile from Public to Private will, going forward, limit new visibility of profile information and content, but Sharecase™ cannot reverse, recall, or otherwise undo any viewing, downloads, copies, shares, screenshots, third-party caching or indexing, or other access that occurred while the profile was Public.
Content Visibility Outside Profile Visibility. Certain content or activity may be visible to other users regardless of a Student’s overall profile visibility setting. For example, a comment, cheer, or other reaction a Student posts on another user’s public content may remain visible on that other user’s profile; an endorsement a Mentor provides to a Student may be visible on the Mentor’s profile in addition to the Student’s. Sharecase™ may provide additional content-level visibility controls within the Services and may modify these from time to time.
Connections, Circles, and Approved Networks. The Services enable users to send and receive connection requests and to form an approved network of connections (which may be referred to as a Student’s Circle or by similar terminology). Sharecase™ may grant or restrict access to a Student’s profile information, content, messaging, and other features based on connection status. Sharecase™ provides users with tools to send, accept, decline, remove, or block connections, and Sharecase™ may impose additional limitations on connection-based access for Student users under 18.
Endorsements. Sharecase™ may offer features that allow Mentors or other users to endorse a Student’s achievements or other content. Endorsements represent the endorsing user’s personal statement or affirmation and do not constitute confirmation by Sharecase™ of the accuracy, authenticity, or quality of the endorsed content or of the Student’s claimed achievement. Sharecase™ does not independently verify the substance of endorsements or the underlying achievements they relate to, and you should not rely on the presence or absence of an endorsement as evidence of the truth or quality of any user’s claims.
Cross-Platform Sharing of Content
The Services may enable you to share your own content from Sharecase™ (such as your own achievements, articles you have authored, posts you have created, or other content you have personally generated or are authorized to share) to third-party platforms, applications, services, and transmission methods, including (without limitation) Instagram, Facebook, Snapchat, X (formerly Twitter), TikTok, LinkedIn, YouTube, Reddit, Discord, WhatsApp, Messenger, SMS or text message, email, AirDrop, your device’s native share menu (including the iOS Share Sheet and Android share menu), copy-link or QR-code-based transmission, and any other social media, messaging, file-sharing, content distribution, or transmission method (collectively, “Third-Party Platforms”). By using these cross-platform sharing features:
(a) You understand and agree that content you share to a Third-Party Platform leaves the Sharecase™ Services and is governed by the terms of service, privacy policy, and content policies of the receiving Third-Party Platform;
(b) Once content is shared to a Third-Party Platform, Sharecase™ has limited or no ability to control how that content is viewed, copied, redistributed, archived, or otherwise used by the receiving Third-Party Platform, its users, or any other third parties, and Sharecase™ is not responsible for the actions of any Third-Party Platform or its users;
(c) Shared content may include information from your Sharecase™ profile (such as your name or username, profile image, the content of the achievement or post being shared, and any associated visual previews), which may be visible to users of the Third-Party Platform regardless of those users’ relationship to you or Sharecase™;
(d) Cross-platform sharing is currently limited to content you have personally created, posted, or are authorized to share through the Services (such as your own achievements or articles you have authored). You represent that you have the right to share any content you transmit through the cross-platform sharing features, including any necessary rights to use or share any third-party material included in your content. Sharecase™ may from time to time expand, limit, or otherwise modify the categories of content available for cross-platform sharing in its discretion;
(e) Where you are a Student user who is under 18, your parent or legal guardian remains responsible for supervising your use of cross-platform sharing, and Sharecase™ reserves the right to impose additional limitations on cross-platform sharing features for Student users under 18, including restrictions on which Third-Party Platforms may be used, which content categories may be shared, or which Sharecase™ information is included in a share; and
(f) Sharecase™ does not endorse, monitor, or control content on Third-Party Platforms, and Sharecase™ makes no representation or warranty regarding the privacy practices, content moderation, security, or any other aspect of any Third-Party Platform.
Regardless of whether content from the Services is shared through Sharecase™’s cross-platform sharing features or through any other method (including, without limitation, screenshots, screen recording, copy-paste, manual transcription or recreation, downloading, or any other means of capture or reproduction), all use of content from the Services remains subject to the Intellectual Property Rights section, the User Contributions section, the Content Standards, and all other applicable provisions of these Terms of Use. You may not reproduce, distribute, publicly display, publicly perform, or otherwise share content from the Services outside the authorized cross-platform sharing features without the express written permission of Sharecase™ and any other rights-holders in such content. Sharecase™ reserves the right to suspend, terminate, or take any other action permitted under these Terms of Use against any user who violates this provision.
Links from the Services
If the Services contain links to other sites and resources provided by third parties, these links are provided for your convenience only. The foregoing includes links contained in advertisements, including banner advertisements and sponsored links. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites that are linked to in the Services, you do so entirely at your own risk and subject to the terms and conditions of use for such websites.
Geographic Restrictions
The owner of the Services is based in the State of Texas in the United States. We provide the Services for use only by persons located in the United States. We make no claims that the Services or any of its content is accessible or appropriate outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
User Well-Being; Mental Health; Crisis Resources
Sharecase™ is committed to providing a positive, supportive, and achievement-focused environment for our users. However, you acknowledge and agree that:
(a) Use of any social, digital, or networked platform — including the Services — may have effects on mental, emotional, social, or psychological well-being, and these effects may differ from person to person and over time;
(b) Sharecase™ is not a mental health, medical, psychological, counseling, or crisis intervention service, and the Services are not designed or intended to provide diagnosis, treatment, or intervention for any mental, emotional, or psychological condition. Content posted by users, including Mentor Articles, endorsements, and other user contributions, does not constitute professional advice and should not be relied upon as such;
(c) If you are experiencing emotional distress, thoughts of self-harm or suicide, abuse, or any other mental health crisis, please contact a qualified professional, a trusted adult, or one of the following resources: in the United States, the 988 Suicide and Crisis Lifeline (call or text 988); the Crisis Text Line (text HOME to 741741); the SAMHSA National Helpline (call 1-800-662-HELP); or your local emergency services (911). For non-emergency support, please consult a licensed mental health professional;
(d) Where you are a Student user who is under 18, your parent or legal guardian remains responsible for monitoring your use of the Services and your well-being and for taking appropriate action if they have concerns; Sharecase™ encourages parents and guardians to engage in regular conversations with their Student about online activity, social use, and well-being;
(e) Sharecase™ may provide features intended to support positive use of the Services (such as time-based reminders, usage limits, content controls, notifications about breaks, opt-in privacy defaults, or other well-being tools) and may modify these features from time to time. Where such features are provided, you are encouraged to use them, but the availability, default settings, and operation of such features remain at Sharecase™’s discretion;
(f) Sharecase™ does not warrant or guarantee that use of the Services will result in any particular educational, career, social, emotional, or psychological outcome, and Sharecase™ disclaims responsibility for any outcomes (whether positive, negative, or neutral) arising from your use of the Services;
(g) You are responsible for your own use of the Services, including taking breaks, limiting use, disengaging from particular content, blocking other users, reporting concerning content or behavior, and discontinuing use of the Services if doing so is in your best interest; and
(h) Sharecase™ may, in its discretion and as required by applicable law, provide additional well-being protections for Student users who are under 18, including (but not limited to) default privacy settings, default usage limits, restrictions on certain features or content categories, default opt-outs of targeted advertising and certain notifications, parental notification or consent mechanisms, and other protective measures. These protections may evolve as Sharecase™ refines its safety practices and as applicable laws and regulatory guidance develop.
Disclaimer of Warranties
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Services will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON THEM, OR ON ANY WEBSITE LINKED TO THEM.
YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW: (1) IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, AND LOSS OF DATA), UNDER ANY LEGAL THEORY AND REGARDLESS OF WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES, OR OTHER WEBSITES; AND (2) IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED (a) THE TOTAL FEES PAID OR PAYABLE BY YOU TO THE COMPANY FOR THE SERVICES DURING THE TERM OF THESE TERMS OF USE, IF ANY, OR (B) ONE THOUSAND DOLLARS (USD $1000).
The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your User Contributions, any use of the Services’ content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Services.
Governing Law and Jurisdiction
All matters relating to the Services and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule (whether of the State of Texas or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Services shall be instituted exclusively in the federal or state courts of Travis County, Texas. You hereby waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Waiver and Severability
No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
Entire Agreement
The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Sharecase™, Inc. regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
Notices
You agree that we may provide notices and messages to you in the following ways: (1) within the Services; or (2) by sending such notices or messages to the contact information that you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.

Mandatory Reporting of Child Sexual Abuse Material (CSAM)
Sharecase complies with all applicable federal and state laws related to the protection of minors, including the obligation to report apparent child sexual abuse material (CSAM) to the National Center for Missing & Exploited Children (NCMEC) under 18 U.S.C. § 2258A. Sharecase will report CSAM and other child exploitation content to NCMEC within statutory timeframes and may cooperate with law enforcement investigations as required by law. Users can report concerning content, including any content involving minors that may violate Sharecase's policies or applicable law, by using in-app reporting tools or by contacting safety@sharecase.app. Sharecase reviews and acts on reports promptly.
Governing Law and Venue
These Terms of Use and your use of Sharecase are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any disputes arising out of or related to these Terms of Use or your use of Sharecase, except as otherwise provided in the Arbitration section, will be brought exclusively in the state or federal courts located in Delaware, and you and Sharecase consent to the personal jurisdiction of those courts.
Binding Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or related to these Terms of Use, your use of Sharecase, or our services (a "Dispute") will be resolved exclusively by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that you may bring claims in small claims court if your claim qualifies. Arbitration will be conducted in Delaware or by video conference.
YOU AND SHARECASE EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. If a court determines this class action waiver is unenforceable, the entire arbitration provision will be void, and the dispute will be resolved in court under the governing law and venue specified above. Users who are minors should review these terms with a parent or guardian; certain consumer protections may apply.
Compensated Content; FTC Endorsement Disclosure
Sharecase may, from time to time and at our discretion, compensate certain users for content they post or engagement they generate on the platform (for example, through a paid creator program, beta launch program, ambassador program, or similar). Any user who is compensated for content or engagement must clearly disclose the compensated relationship in connection with the content (for example, by including "#sponsored" or "#ad" or an equivalent label in the post, in accordance with Federal Trade Commission (FTC) endorsement guidelines). Sharecase reserves the right to add disclosure labels to compensated content and to require users to comply with FTC and other applicable endorsement disclosure rules. Sharecase will publicly disclose the existence and general terms of any compensation program as required by applicable law.

User Content License
By posting, uploading, sharing, or submitting any content to Sharecase, including but not limited to photos, videos, text, audio, or other media ("User Content"), you grant Sharecase a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify (for technical purposes such as resizing or cropping), publish, publicly display, publicly perform, distribute, and create derivative works of your User Content for the purposes of operating, providing, promoting, and improving Sharecase. This license includes the right to display your User Content in feeds, profiles, search and discovery results, Recruiter and Mentor search results, external sharing preview cards generated when users share content off-platform, and any other surfaces where User Content reasonably appears in the operation of Sharecase. This license continues for as long as you maintain a Sharecase account and for a reasonable period after account deletion to the extent necessary for backups, archival, legal compliance, or use in connection with content posted by other users that references your User Content.
Geographic Availability
Sharecase is currently available to users in the United States. We may expand availability to additional countries or regions in the future, in which case the terms of service and privacy practices applicable to users in those regions may be updated accordingly. By creating an account, you represent that you are located in the United States or that you accept these Terms of Use as the governing terms regardless of your location.
Mentor Independence and Liability
Mentors are independent users of Sharecase. They are not employees, agents, or representatives of Sharecase, and Sharecase does not vet, endorse, or otherwise guarantee the accuracy, completeness, or appropriateness of advice, guidance, or content provided by individual Mentors. Sharecase offers an optional verification mechanism for Mentors based on email domain or institutional affiliation. Mentors who complete this verification display a "Verified Mentor" badge on their profile and other surfaces. Mentors who do not complete verification may still register and use Sharecase but do not receive the badge. Verification, where granted, does not constitute endorsement or vouching for the substance of any Mentor's interactions, advice, or content. Responsibility for the substance of Mentor-Mentee interactions, including any advice, guidance, or content shared between users, rests with the parties to the interaction. Users, parents, and guardians are encouraged to exercise judgment in evaluating mentor relationships and to report any concerns through Sharecase's in-app reporting tools.
Recruiter Access to Student Profiles
Subject to user-controlled profile visibility settings, Recruiters who join Sharecase may search for and view public Student profiles, including profile content, achievements, endorsements, and other content the Student has chosen to make visible to Recruiters. Students may control whether their profile is visible to Recruiters through profile visibility settings (Public / Private). For Student users who are under 18, default profile visibility is Private; visibility may be adjusted only with the user's affirmative selection, and changes may notify the user's consenting parent or guardian.
Mentor-Student Communication Safeguards
To support the safety of Student users who are minors, Sharecase implements safeguards on Mentor-Student communication, including: (a) limiting direct messaging between Mentors and Student users who are not connected; (b) providing in-app reporting tools for any concerning interaction; (c) maintaining the ability to remove Mentors from the platform for violations of Sharecase's policies or applicable law; and (d) preserving message records for safety and compliance purposes for a reasonable period as described in our Privacy Policy. Parents and guardians of Student users under 18 retain the right to revoke parental consent at any time, which suspends the Student's account and ends ongoing communication. Sharecase does not currently provide a parent dashboard for ongoing oversight of individual messages.
Background Checks
Sharecase does not conduct criminal background checks on Mentors, Supporters, Recruiters, or other adult users. Sharecase takes the following measures to support the integrity of adult-role accounts: (a) an optional verification mechanism for Mentors through work or school email domains and institutional affiliation, with verified Mentors displaying a "Verified Mentor" badge on their profile; mandatory verification for Recruiters through institutional email domains and institutional affiliation; (b) optional Verified Parent or Guardian relationships for Supporters, verified through Student confirmation; (c) in-app reporting tools available to all users; (d) ability to remove users from the platform for violations of Sharecase's policies or applicable law; and (e) cooperation with law enforcement as required by law. Sharecase reserves the right to add additional verification or safety measures, including third-party identity verification, in the future. Users, parents, and guardians are encouraged to exercise judgment in evaluating connections and relationships on Sharecase.
Age Transition (Turning 18)
When a Student user reaches the age of 18, the parental consent obligations described in this Privacy Policy and our Terms of Use no longer apply to that user. The Student account remains active and continues to be governed by the Student's own continued acceptance of the Terms of Use and Privacy Policy. The user may adjust their profile visibility settings, choose to convert their account role (where permitted by Sharecase), or take other actions in their account that were not previously available to them as a minor. Sharecase will notify Student users approaching their 18th birthday of any changes that will take effect.

Sharecase is committed to providing a platform that is accessible to people with disabilities. We strive to comply with the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA, where reasonably feasible. We welcome feedback on how to make Sharecase more accessible.
Security Research and Responsible Disclosure
Sharecase welcomes responsible security research that helps us improve the security of our platform. If you believe you have discovered a security vulnerability in Sharecase, please report it to security@sharecase.app. When you conduct security research in good faith and in accordance with the guidance below, Sharecase will not pursue legal action against you under the Computer Fraud and Abuse Act, the Digital Millennium Copyright Act, or these Terms of Use. Good-faith research means: (a) reporting the vulnerability to us promptly and not publicly disclosing until we have had a reasonable opportunity to remediate; (b) not accessing or modifying user data beyond the minimum necessary to confirm the vulnerability; (c) not degrading the service or affecting other users; and (d) complying with applicable laws and these Terms of Use in all other respects.
Open Source Components
Sharecase incorporates open source software components in its platform. A list of these open source components and their respective licenses is available at https://joinsharecase.com/open-source or by contacting opensource@sharecase.app. Use of open source components is governed by the terms of each component's license. Sharecase complies with the attribution and notice requirements of open source licenses applicable to its platform.
Parental Verification Mechanism
For Student users who are under 18, Sharecase requires verifiable parental consent before activating the account. This section describes the mechanism Sharecase uses to obtain and document parental consent.
Consent Flow. During Student signup, the Student provides the contact information (phone number, email address, or both) for a parent or legal guardian. Sharecase then sends a one-time approval request to the parent or guardian through the chosen channel, containing a unique link to a parental consent landing page. On that page, the parent or guardian reviews a description of Sharecase, the Student account being created, and what the Student can do on the platform. The parent or guardian provides consent through the following affirmative actions: (a) acknowledgment that they are the parent or legal guardian of the Student; (b) affirmation that they consent to the Student creating a Sharecase account; (c) confirmation that they have reviewed Sharecase's Terms of Use and Privacy Policy; and (d) optional: typed full legal name as a written attestation. The Student's account does not activate until consent is received and recorded.
Failed or Declined Consent. If the parent or guardian declines consent, the Student is notified that consent was not granted and may submit a new consent request to a different parent or guardian. If no response is received within fourteen (14) days, the pending consent record expires and the Student may re-initiate the consent request. If the contact information provided is invalid or undeliverable, the Student may update the parent or guardian contact through the "Edit Parent Contact" flow.
Audit Record Retention. Sharecase retains the parental consent verification record for the lifetime of the Student's account plus a reasonable period thereafter, typically seven (7) years following account deletion, to comply with applicable laws and to resolve disputes. The audit record includes: the parent or guardian's name; contact information used; channel used for the consent request; IP address of the consent submission; device user agent; timestamp; version of the Terms of Use accepted; version of the Privacy Policy accepted; optional typed name attestation; and consent status (approved, declined, or revoked).
Disputes Regarding Consent. If a parent or legal guardian believes a consent record was created without their actual authorization, they may contact Sharecase at privacy@sharecase.app. Sharecase will review the verification record promptly and may, in its discretion, suspend the affected Student account pending investigation. Resolution may include account suspension, deletion of the Student account, or other appropriate remedial action.
Material Changes; Re-Verification. If Sharecase materially expands the scope of what Student users under 18 can do on the platform, Sharecase will notify consenting parents and guardians of the change. Re-verification of parental consent may be required in some circumstances, as Sharecase determines appropriate or as required by applicable law.
Multiple Parents or Guardians. A Student may have only one parent or guardian designated as the consenting party on the initial consent record. After initial consent is granted, additional parents or guardians may establish a separate "Verified Parent or Guardian" relationship through the Sharecase Supporter onboarding flow, subject to Student confirmation. Either parent or guardian with verified status may revoke consent at any time, solely by following the unique revocation link provided in their consent communications (email and/or SMS), which suspends the Student account until consent is re-established.
Future Verification Methods. Sharecase may, in the future, introduce stronger identity verification methods as part of the parental consent flow, including but not limited to government-issued ID verification, selfie verification, or knowledge-based authentication, through third-party identity verification vendors. Sharecase will update these Terms of Use and our Privacy Policy as appropriate when such methods are introduced and will continue to comply with applicable laws governing the verification of parental consent.
